PREAMBLE
We, the voluntary members, ministers, fiduciaries, and participants of:
WE THE PEOPLE’S TRUST OF THE MESSIANIC NATION, operating through its PRIVATE ECCLESIASTICAL TREASURY DIVISION, and its affiliated community association known as the MESSIANIC NATION – NACIÓN MESIÁNICA PRIVATE MEMBERSHIP ASSOCIATION, do hereby establish this Fiduciary Charter and Trust Bylaws in the exercise of the fundamental rights protected under the Constitution of the United States of America and recognized under principles of natural law, private contract, common law traditions, freedom of conscience, and lawful private association.
These rights include, but are not limited to:

Freedom of peaceable assembly

Freedom of charitable and ecclesiastical organization
The members affirm that free people possess the lawful right to gather peacefully, organize voluntarily, worship according to conscience, establish private ministries and associations, maintain internal governance systems, preserve spiritual traditions, and administer their internal affairs through honorable and lawful agreement.
This Charter is established for spiritual, educational, humanitarian, charitable, fiduciary, cultural, and community purposes consistent with principles of:

The Trust, Treasury Division, and Private Membership Association are private, faith-based, voluntary, and contractual in nature and are not established as governmental authorities, public banks, licensed financial institutions, or public securities entities.
ARTICLE I: NAME, FORMATION, AND ORGANIZATION
1.1 Official Name
The official name of this Trust shall be:

operating through its administrative and treasury division known as:
PRIVATE ECCLESIASTICAL TREASURY DIVISION
and its affiliated community association known as:
MESSIANIC NATION – NACIÓN MESIÁNICA
PRIVATE MEMBERSHIP ASSOCIATION
1.2 Nature
The Trust and Association are established as:

Voluntary Contractual Communities

Unincorporated Ministerial and Charitable Bodies
organized under principles of:

Ecclesiastical governance

1.3 Principal Office
The principal administrative office may operate from Mexico City or such additional locations as determined by the Founder, Trustee, or Administrator.
ARTICLE II: DEFINITIONS
2.1 Definitions
For purposes of this Charter:

“Trust” refers to We the People’s Trust of the Messianic Nation.

“Treasury Division” refers to the Private Ecclesiastical Treasury Division.
-
“Association” or “PMA” refers to the Messianic Nation – Nación Mesiánica Private Membership Association.
-
“Founder” refers to the founding fiduciary and ecclesiastical organizer.
-
“Settlor” refers to the individual establishing the Trust structure.
-
“Administrator” refers to the fiduciary office administering operations.
-
“Member” refers to any voluntary participant accepted into the Association.
-
“Private Instrument” refers to internal non-public records, certificates, or participation instruments issued by the Trust or PMA.
-
“Ecclesiastical Capacity” refers to actions undertaken in spiritual, ministerial, charitable, educational, or religious administration.
ARTICLE III: PURPOSE
3.1 Spiritual and Religious Purpose
The Trust and PMA shall function as private ecclesiastical and faith-based bodies dedicated to:

Worship and spiritual fellowship

Faith-based community development
-
Religious education
-
Ministerial and ceremonial functions
-
Preservation of spiritual traditions
-
Charitable outreach and humanitarian assistance
3.2 Community and Educational Purpose
The organization may promote:

Educational initiatives

Humanitarian missions
-
Cultural exchange
-
Family and community support
-
Spiritual counseling
-
Peaceful community cooperation
3.3 Fiduciary and Treasury Purpose
The Treasury Division may administer internal fiduciary, treasury, charitable, and accounting functions for private ecclesiastical and community purposes.
ARTICLE IV: MEMBERSHIP
4.1 Nature of Membership
Membership within the PMA is:

Private

Voluntary

Contractual
-
Faith-based
-
Non-public in nature
4.2 Eligibility
A person may participate if they:

Apply voluntarily
-
Accept the principles of the PMA
-
Conduct themselves in good faith
-
Are at least eighteen (18) years of age, or participate through a parent, legal guardian, or authorized tutor where applicable
4.3 No Public Rights
Membership does not create:
-
Governmental status
-
Public office
-
Shareholder rights
-
Ownership interest
-
Voting rights over fiduciary administration
ARTICLE V: FOUNDER, SETTLOR, AND TRUST ADMINISTRATION
5.1 Founder and Settlor
The Founder and Settlor of the Trust shall be:

5.2 Administrator
The Founder may appoint administrators, ministers, elders, fiduciaries, or councils as deemed necessary.
5.3 Fiduciary Authority
Final fiduciary and ecclesiastical authority shall remain vested in the Founder, Settlor, or duly designated Trustee.
ARTICLE VI: COUNCILS AND COMMUNITY STRUCTURE
6.1 Spiritual Council
The Founder may establish:

A Council of Elders

Ministers and spiritual advisors

Judges of peace and reconciliation
-
Humanitarian and educational committees
6.2 Regional Guardians
Regional guardians, delegates, or ambassadors may be appointed to support community development and peaceful cooperation.
ARTICLE VII: COMMUNITY TREASURY DIVISION
7.1 Treasury Functions
The Treasury Division may administer:

Internal contribution records

Charitable and humanitarian funds

Community resource management
-
Educational and spiritual project support
-
Internal treasury accounting systems
7.2 Voluntary Contributions
The organization may accept:

Donations
-
Offerings
-
Charitable gifts

Community support contributions

Humanitarian participation funds
7.3 Internal Nature
All treasury functions are private, voluntary, internal, and ecclesiastical in nature.
ARTICLE VIII: PRIVATE INSTRUMENTS AND CERTIFICATES
8.1 Private Internal Value Certificates
The Trust may issue:

Internal ecclesiastical records
for private participation and internal accounting purposes only.
8.2 Nature of Instruments
Such instruments:

Are non-governmental

Are not legal tender

Are not public securities

Are not bank deposits

Are private and internal in nature
8.3 No Voting or Governance Rights
No certificate, participation instrument, donation, contribution, or internal record shall grant voting rights, ownership interests, governance authority, partnership rights, or managerial control over the Trust, Treasury Division, or PMA.
All fiduciary, ecclesiastical, treasury, and administrative authority shall remain vested exclusively in the Founder, Settlor, or designated Trustee.
8.4 Non-Refundable Contributions
All donations, offerings, treasury contributions, participation funds, and charitable transfers made to the Trust, Treasury Division, or PMA are voluntary, irrevocable, and non-refundable.
No participant, contributor, member, or certificate holder shall possess the right to demand repayment, reimbursement, redemption, withdrawal, or return of contributed assets unless expressly authorized in writing by the Founder or Trustee.
ARTICLE IX: ETHICS, GOOD FAITH, AND CONDUCT
9.1 Principles
All participants shall conduct themselves according to principles of:

Spiritual responsibility
9.2 Prohibited Conduct
No member or participant shall use the organization, its instruments, or its records for:

Fraud

Misrepresentation

Unlawful activity
ARTICLE X: RECORDS, SEAL, AND ARCHIVES
10.1 Ecclesiastical Seal
The organization may maintain an official Ecclesiastical Seal and fiduciary insignia.
10.2 Private Records
Private records, ledgers, archives, and internal documents may be maintained physically or digitally.
10.3 Confidentiality
Internal records shall remain private unless disclosure is voluntarily authorized.
ARTICLE XI: DISPUTE RESOLUTION
11.1 Peaceful Resolution
All disputes shall first be addressed through:

Spiritual counsel

Ecclesiastical arbitration

Peaceful internal resolution
ARTICLE XII: LIMITATION OF LIABILITY
12.1 Limited Liability
No trustee, minister, elder, fiduciary, or administrator shall be personally liable for obligations of the organization except in cases of intentional misconduct or fraud.
12.2 Voluntary Participation
Participation is private, voluntary, and contractual in nature.
ARTICLE XIII: SUCCESSION
13.1 Succession
In the event of incapacity, resignation, or death of the Founder or Trustee, a successor fiduciary administrator may be designated according to internal governance procedures.
ARTICLE XIV: AMENDMENTS
14.1 Amendments
These Bylaws and Charter may be amended only through written authorization of the Founder, Settlor, or duly designated Trustee.
ARTICLE XV: DECLARATION OF GOOD FAITH
15.1 Declaration
This Charter is established in good faith for spiritual, charitable, educational, humanitarian, fiduciary, and community purposes.
15.2 Intent
Nothing within this Charter shall be interpreted as authorizing unlawful conduct, governmental authority, public banking activity, or public securities operations.
