PRIVATE ECCLESIASTICAL TREASURY

FIDUCIARY CHARTER AND TRUST BYLAWS

ARTICLE I: NAME, FORMATION, AND ORGANIZATION

1.1 Name

The official name of this Trust shall be:

WE THE PEOPLE’S TRUST OF THE MESSIANIC NATION

operating through its administrative and treasury division known as:

MESSIANIC NATION PRIVATE ECCLESIASTICAL TREASURY

1.2 Nature

The Trust is established as a:

  • Private Ecclesiastical Trust

  • Unincorporated Faith-Based Association

  • Fiduciary Stewardship Structure

  • Private Contractual and Ministerial Organization

organized under principles of:

  • Divine Law

  • Natural Law

  • Common Law

  • Private Contract

  • Ecclesiastical Governance

1.3 Registered and Affiliated Entities

The following entities may operate in affiliated, fiduciary, administrative, ministerial, or supportive capacities within the Trust structure:

  • NACION MESIANICA – MESSIANIC NATION

  • RUBEN JOHANN III DE MONTECRISTO – PRIVATE BANK E & T

  • JOHANN III DE MONTECRISTO – HOLDING BANK – UNINC ASSOC.

  • RUBEN JUAN ZARAGOZA E & T – FOREIGN TAX EXEMPT

  • RJZ ENTERPRISE

  • Kingdom of the Messianic Nation and its Court of Records

ARTICLE II: DEFINITIONS

2.1 Definitions

For purposes of this Charter:

  • “Trust” refers to We the People’s Trust of the Messianic Nation.

  • “Treasury” refers to the Private Ecclesiastical Treasury Division.

  • “Administrator” refers to the fiduciary administrative office responsible for operations.

  • “Grantor” or “Settlor” refers to the founding fiduciary establishing the Trust.

  • “Beneficiary” refers to the designated spiritual or fiduciary beneficiary.

  • “Private Instrument” refers to any non-public certificate, ledger, or internal trust document issued by the Trust.

  • “Ecclesiastical Capacity” refers to actions performed in spiritual, ministerial, educational, or religious administration.

ARTICLE III: PURPOSE

3.1 Spiritual and Ecclesiastical Purpose

The Trust shall function as a sacred ecclesiastical body dedicated to:

  • Worship and spiritual fellowship

  • Faith-based community development

  • Religious rites and ceremonies

  • Spiritual education and charitable outreach

  • Stewardship of community and sacred resources

in alignment with the principles and customs of the Messianic Nation.

3.2 Fiduciary and Treasury Purpose

The Trust may operate a private ecclesiastical treasury for lawful private stewardship, administration, internal accounting, and community resource management among its affiliated entities and members.

3.3 Community Development

The Trust shall promote:

  • Humanitarian assistance

  • Educational initiatives

  • Community empowerment

  • Resource sharing

  • Peaceful cooperation among members and affiliated bodies

3.4 Enjoyment of Life and Spiritual Liberty

The Trust recognizes the spiritual and natural right of its members, ministers, and founding fiduciaries to live peacefully, worship freely, enjoy lawful prosperity, and pursue community well-being without improper interference from third parties.

ARTICLE IV: TRUST STRUCTURE

4.1 Grantor / Settlor

4.2 Administrator

RJZ ENTERPRISE

shall serve as the fiduciary administrative office of the Trust.

4.3 Beneficiary

RUBEN JUAN ZARAGOZA E & T – FOREIGN TAX EXEMPT

shall serve as designated beneficiary within the Trust structure.

4.4 Auxiliary Bodies

Additional councils, ministries, divisions, and affiliated entities may be created as necessary for administrative, educational, humanitarian, spiritual, or operational purposes.

ARTICLE V: FIDUCIARY DUTIES

5.1 Fiduciary Responsibility

The Administrator shall act in good faith and to the best of its knowledge and belief in preserving the integrity of the Trust.

5.2 Duties of the Administrator

The Administrator shall:

  • Maintain fiduciary and spiritual integrity

  • Safeguard Trust assets and records

  • Maintain internal ledgers and documentation

  • Serve as signatory and operational steward

  • Preserve confidentiality and administrative continuity

5.3 Council of Elders

A Council of Elders, Ministers, or Advisors may be appointed as necessary to assist with governance, spiritual matters, mediation, or internal review.

ARTICLE VI: ETHICS, GOOD FAITH, AND COMPLIANCE

6.1 Principles of Conduct

The Trust shall operate in honor, good faith, lawful conduct, peaceful association, and fiduciary responsibility.

6.2 Prohibited Conduct

No Trust instrument, certificate, or internal document shall be used for:

  • Fraud

  • Deception

  • Misrepresentation

  • Unlawful enrichment

  • Harmful or malicious activity

6.3 Responsibility of Members

All members, ministers, fiduciaries, and administrators shall uphold principles of integrity, stewardship, peace, and mutual respect.

ARTICLE VII: COMMUNITY TREASURY DIVISION

7.1 Treasury Functions

The Community Treasury Division may administer:

  • Internal accounting systems

  • Community contribution records

  • Humanitarian development funds

  • Charitable and educational resource management

  • Private internal treasury operations

7.2 Contributions and Deposits

The Trust may accept:

  • Voluntary donations

  • Private contributions

  • Community support funds

  • Charitable gifts

  • Ecclesiastical offerings

7.3 Internal Nature

All treasury activities are private, internal, voluntary, and administrative in nature.

ARTICLE VIII: PRIVATE INSTRUMENTS AND CERTIFICATES

8.1 Private Internal Value Certificates

The Trust may issue Private Internal Value Certificates, Certificates of Participation, or Treasury Participation Instruments for internal accounting and private participation purposes only.

8.2 Nature of Instruments

Such instruments:

  • Are non-governmental

  • Are private and internal

  • Do not constitute legal tender

  • Are not public securities

  • Are issued solely for private ecclesiastical and fiduciary purposes

8.3 Ledgers and Records

Private ledger books, internal balance sheets, and treasury records may be maintained under fiduciary custody.

8.4 No Voting or Governance Rights

No Private Internal Value Certificate, Participation Instrument, Contribution Record, or Treasury Certificate issued by the Trust shall grant voting rights, governance authority, ownership interest, partnership status, or managerial control over the Trust, its Treasury, ministries, councils, or affiliated entities.

All administrative, fiduciary, ecclesiastical, treasury, and governance authority shall remain vested exclusively in the Founder, Settlor, and Trustee of the Trust, namely:

Rubén Johann III/Ruben Juan Zaragoza

or any lawful successor expressly designated in writing pursuant to this Charter.

8.5 Non-Refundable Contributions and Participation

All donations, contributions, offerings, participation funds, treasury deposits, ecclesiastical gifts, or voluntary transfers made to the Trust, its Treasury Division, ministries, humanitarian programs, or affiliated entities shall be deemed voluntary, irrevocable, and non-refundable.

No contributor, participant, certificate holder, or member shall acquire any right to demand repayment, reimbursement, redemption, refund, withdrawal, or return of contributed assets, funds, or property unless expressly authorized in writing by the Founder, Settlor, or Trustee.

All contributions are accepted in good faith for private ecclesiastical, charitable, fiduciary, educational, humanitarian, administrative, and community purposes consistent with this Charter.

Participation within the Trust shall not be construed as a public investment contract, shareholder relationship, banking deposit, insured account, or redeemable financial instrument.

ARTICLE IX: RECORDS, SEAL, AND ARCHIVES

9.1 Ecclesiastical Seal

The Trust shall maintain an official Ecclesiastical Seal for internal fiduciary and ceremonial use.

9.2 Record Office

The Trust may maintain a Private Record Office and Archive Division for preservation of records, certificates, charters, and internal instruments.

9.3 Confidentiality

All records shall remain private and confidential unless disclosure is voluntarily authorized.

ARTICLE X: SUCCESSION

10.1 Continuity of Administration

In the event of incapacity, resignation, or death of the Settlor or Administrator, the Council of Elders may appoint a successor fiduciary administrator.

10.2 Preservation of the Trust

All succession actions shall preserve the spiritual, fiduciary, and administrative continuity of the Trust.

ARTICLE XI: JURISDICTION AND DISPUTE RESOLUTION

11.1 Governing Principles

The Trust intends to operate within the protected sphere of:

  • Private association

  • Religious liberty

  • Ecclesiastical administration

  • Lawful private contract

11.2 Dispute Resolution

All disputes arising within the Trust shall first be addressed through:

  • Private mediation

  • Spiritual counsel

  • Ecclesiastical arbitration

  • Peaceful internal resolution processes

ARTICLE XII: LIMITATION OF LIABILITY

12.1 Limited Personal Liability

No trustee, administrator, minister, elder, or council member shall be personally liable for the obligations of the Trust except in cases of intentional misconduct or fraud.

12.2 Voluntary Participation

Participation within the Trust is voluntary, private, and contractual in nature.

ARTICLE XIII: AMENDMENTS

13.1 Amendment Authority

These bylaws and fiduciary charter may only be amended with written approval of the Grantor and Administrator, together with any governing council designated by the Trust.

ARTICLE XIV: DECLARATION OF GOOD FAITH

14.1 Foundational Declaration

This Trust is established in good faith for spiritual, educational, charitable, humanitarian, and fiduciary stewardship purposes within the Messianic Nation community.

14.2 Intent

Nothing within this Charter shall be interpreted as authorizing unlawful conduct, fraud, public banking activity, or governmental authority.
